Subject: Concluding the agreement with Pekabud-Morasko Sp. z o.o.

Legal basis: Art. 65 (1) (2) of the Act on public offerings – current and periodical information.

The contents of the report:

Management of Talex S.A. informs that today the Company has received information on the conclusion of the agreement of 19 February 2014 with Pekabud – Morasko Sp. o.o. with its registered office in Poznan, hereinafter referred to as the Contractor. The subject of the agreement is the performance by Pekabud – Morasko Sp. z o.o. of reinforced concrete structures in Talex S.A. office building expansion at Karpia 27d.

The net value of the agreement is PLN 5.1 million.

The Contractor is obliged to pay the following contractual penalties: 0.1% of the value of the task specified in the schedule for each day of delay in the implementation of the task; 0.1% of the agreement value for each day of delay in the implementation of the agreement; 0.1% of the value of the task specified in the schedule for each day of delay in the removal of defects found upon receipt or during the implied warranty/guarantee for defects; 5% of the agreement value in case when the delay in the realization of tasks exceeds 30 days in relation to the date specified in the schedule.

Talex S.A. is obliged to pay the contractual penalty in the amount of 0.1% of the agreement value for each day of delay in making the construction site available to the Contractor.

Payment of the penalties does not preclude claims for damages exceeding the amount of these penalties. The investment is implemented under the Company's project entitled "Creation of IT Centre providing modern services. " The funding for the project has been granted to the Company under the Operational Programme Innovative Economy 2007-2013, about which Talex informed in the current report No 24/2013.

The criterion to consider this agreement as significant: the amount of equity.
